365 IT Guard

365 IT Guard Terms of Service

Version 2026-11 · Last updated: November 4, 2026

The short version

These terms are the agreement between you and Zenlo Innovations & Technology LLC for using 365 IT Guard. Please read them. The points people most often ask about:

This summary is for convenience. The sections below are what you agree to.

1. Who we are and how you agree

365 IT Guard is made by Zenlo Innovations & Technology LLC ("Zenlo", "we", "us"), a Utah company at 845 S Main St C4, Bountiful, UT 84010, USA.

These terms cover the 365 IT Guard desktop app for Windows and its background service, the AI Assistant inside it, the sign-in page at login.365itguard.com, the admin portal at admin.365itguard.com, and our related emails and support (together, the "Service").

How you agree. You agree to these terms by ticking the box in the app or the admin portal that says you agree. If you don't agree, don't install or use the Service. Devices enrolled to an organization with no one signed in are covered by the organization's acceptance (see section 3).

The agreement is made up of:

United States only. The Service is offered only to customers in the United States. By accepting, you confirm that you, or the organization you accept for, are located in the US.

Age. You must be at least 18 to create an account, and you confirm you are when you accept. A parent or guardian may install the desktop app on a child's PC under a Family plan, as described in section 4.

Accepting for an organization. If you create or manage an organization (called a "workspace" in the app) for a company or other group, you accept these terms on its behalf and confirm you have authority to do so. "You" then means both you and that organization. Your acceptance also covers the organization's devices that are enrolled with no one signed in.

2. The Service and plans

365 IT Guard monitors the health and security of Windows PCs, shows the results in the app and the admin portal, and helps you fix problems.

We offer two kinds of plan:

The features, number of devices and prices of each plan are shown when you choose it and on the Subscription page in the admin portal.

3. Accounts and organizations

Your account. Give us accurate information and keep it up to date. Keep your password and two-step sign-in device secure, and don't share your account. You're responsible for what happens under your account. Tell us straight away at support@365itguard.com if you think someone else has used it.

Admins. An "admin" is a member of an organization with the admin role. Admins can invite and remove people, change roles, enroll and remove devices, manage the subscription, and change organization settings, such as whether the AI Assistant can be used on PCs with no one signed in. The organization is responsible for what its admins do.

Enrollment codes and credentials. Organization codes and single-use enrollment credentials let a PC join your organization without anyone signing in. Treat them like passwords. Every device enrolled with them uses one of your plan's devices and is your responsibility. If one leaks, issue a new code or credential and remove any device you don't recognise.

PCs with no one signed in. A device enrolled to an organization without a user is covered by the organization's acceptance of these terms. Whoever uses that PC can see its health information and, unless an admin turns it off, use the AI Assistant. Make sure the people who use those PCs may do so.

4. Devices you monitor

You need the right to install it. You confirm that you own each PC you install 365 IT Guard on, or are authorised to install and run it there. That includes PCs owned or managed by an employer, a school or anyone else. Installing it must not break any policy or agreement that applies to the PC.

Monitoring other people. 365 IT Guard shows admins information about the PCs in their organization, including the names of running programs and security status (the Privacy Policy lists exactly what). If a PC you monitor is used by someone else, you are responsible for:

Children. On a Family plan, a parent or guardian may enroll a child's PC without giving the child an account. Accounts are for adults only.

5. The desktop app

Licence. While you have an active account or your device is enrolled, we give you a personal, non-exclusive, non-transferable, revocable licence to install and use the desktop app on PCs covered by your plan, for monitoring and maintaining those PCs. We own the app; you get the right to use it.

What you may not do. Don't sell, rent, lend, sublicense or redistribute the app. Don't copy, modify, reverse-engineer, decompile or disassemble it, except where the law allows this despite these terms. Don't remove our notices or try to get around its licensing, enrollment or security controls. Open-source software and data in the app are covered by their own licences, listed in our third-party notices (also in Settings in the app), and nothing here limits your rights under them.

Background service. The app installs a background service that starts with Windows and runs with the permissions it needs to read your PC's health and security settings. It listens only on your own PC, not the network.

Automatic updates. The app downloads updates automatically and installs them when it restarts. Where it's installed for every user of a PC, an update is installed when someone restarts the app from Settings, and Windows asks for an administrator's approval. Updates are code-signed and covered by these terms. Some updates are needed to keep using the Service.

Early releases. If you choose to receive early releases in Settings, you'll get versions before we release them to everyone. They are previews and may be less stable. You can switch back at any time.

Changes to your PC. The app can make changes to your PC, such as ending a program, running a Microsoft Defender scan or signature update, deleting temporary files and caches, emptying the Recycle Bin, turning startup programs off, or changing the power plan. It makes them only after you, or the person at that PC, confirm them. You're responsible for checking what a change will do before you confirm it. Some changes can't be undone. Ending a program loses its unsaved work, for example, and deleted files are gone.

Backups. Keep up-to-date backups of anything on your PCs that you can't afford to lose.

Uninstalling. You can uninstall the app at any time from Windows Settings. Removing a device from your organization stops it being monitored.

6. The AI Assistant

The AI Assistant is software, not a person. It answers questions about your PC using a large language model run by a third party (currently OpenAI). The Privacy Policy explains exactly what is sent and what is kept back.

7. What 365 IT Guard is not

365 IT Guard is a monitoring and maintenance tool. It is not antivirus or anti-malware software, a firewall, a backup service, or a managed security service. It doesn't guarantee that it will detect, prevent or fix every problem, threat or failure, and it doesn't replace professional IT or security advice.

Don't rely on it as your only protection, and don't use it where a failure could lead to death, injury or serious physical or environmental damage.

8. Trials, payment and cancellation

Free trial. A new organization starts with a free trial for the period shown when you create it. No card is needed. When the trial ends, monitoring stops on the organization's PCs until you subscribe. If you subscribe during the trial, your card is charged when the trial ends unless you cancel first. If you subscribe more than two days before the trial ends, you keep the days that are left and your first charge falls on the day the trial would have ended. If you subscribe later than that, you're charged when you subscribe.

Prices and devices. Prices are shown before you buy, in US dollars, and are charged in advance for each billing period (monthly, unless the plan you choose says otherwise). Each plan includes a number of devices, shown when you choose it. Where a plan lets you add devices, each one you add above the included number is charged as an add-on. Adding devices is charged straight away for the rest of the current period. Removing them takes effect from your next renewal, with no credit for the current period. Once all of your plan's devices are in use, another PC can't enroll until you add one or remove a device.

Taxes. Prices don't include taxes. Where we're required to collect sales tax, we add it at checkout. You're responsible for any other taxes that apply.

Automatic renewal. Paid plans renew automatically at the end of each billing period and are charged to your payment method on file until you cancel. By subscribing, you authorise us, through our payment processor Stripe, to charge it for each period. The renewal terms are also shown on the payment page before you subscribe.

Cancelling. An admin can cancel at any time on the Subscription page in the admin portal. Cancelling stops the next renewal. The plan keeps working until the end of the period you've paid for.

No refunds. Payments are non-refundable, and we don't give refunds or credits for partial periods, unused devices or unused features. The only exceptions are where the law requires a refund, where we stop offering the Service (section 14), where a Business customer cancels after objecting to a new subprocessor (DPA section 9), or where we agree otherwise in writing.

Failed payments. If a payment fails, monitoring stops on the organization's PCs straight away. Stripe retries the payment, and everything resumes as soon as a payment succeeds. Your data is kept while the organization is suspended (see section 14).

Price changes. We'll give you at least 30 days' notice by email before a price increase applies to your plan. The new price applies from your next renewal after the notice period. If you don't want to pay it, cancel before then.

Payment details. Stripe handles your card under its own terms. We never see or store your card number.

9. Acceptable use

Don't use the Service to:

If you find a security issue, report it to security@365itguard.com rather than testing it further.

10. Your data

You own your data. You keep all rights to the information that you and your devices send to the Service ("Your Data"). You give us permission to host, copy, process and display Your Data only as needed to provide, secure, support and improve the Service, as the Privacy Policy and, for Business accounts, the DPA describe. We don't sell Your Data or use it for advertising.

You're responsible for Your Data. You confirm that you have the right to send it to us and that collecting it is lawful, including data about the people who use your PCs.

Business accounts. For Business accounts, we process personal information about your users on your behalf, as your service provider, under the DPA.

Usage data. We may use aggregated, de-identified information about how the Service is used, which doesn't identify you, a person or a device, to run and improve it.

Copies and deletion. You can get a copy of your data, or have it deleted, as the Privacy Policy explains. When an account is deleted or an organization is archived, we delete its data on the schedule the Privacy Policy sets out.

11. Our property and your feedback

We and our licensors own the Service, the software, and the 365 IT Guard name and logo. These terms give you no rights to them beyond those set out here.

If you send us feedback, ideas or suggestions, we may use them without any obligation to you. Whether you agreed to be contacted about your feedback is a separate choice you make, and you can change it at any time.

12. Other companies' services

The Service relies on other companies, such as Google Firebase for sign-in and for hosting the sign-in page and admin portal, OpenAI for the AI Assistant, Stripe for payments, Cloudflare for routing and protecting our traffic, Microsoft for Windows and Defender, and Amazon Web Services for hosting. Their services are covered by their own terms. We're not responsible for them, but we choose them carefully and the Privacy Policy lists them.

13. Availability and changes to the Service

We work to keep the Service running, but we don't promise it will always be available, uninterrupted or error-free. It may be unavailable during maintenance, updates or events outside our control.

We improve the Service over time, so features may be added, changed or removed. If we remove a major feature of a paid plan, we'll tell you in advance, and you can cancel before the change if you don't want to continue.

14. Suspension and termination

By you. You can stop using the Service at any time. Cancel your plan, then archive your organization or delete your account in the admin portal, and uninstall the app. An archived organization or deleted account can be restored for 30 days. After that its data is erased, as the Privacy Policy describes.

By us. We may suspend or end your access, or an organization's, if:

Where we reasonably can, we'll tell you first and give you a chance to fix the problem. We may also stop offering the Service altogether. If we do, we'll give at least 30 days' notice and refund any fees you paid in advance for the time after it ends.

While suspended. Devices stop reporting, but we keep your organization's data, subject to the retention periods in the Privacy Policy, until the suspension ends or the organization is archived.

What happens next. When access ends, your licence to the app ends and devices stop reporting. We delete your data as the Privacy Policy describes. Sections 4, 7, 8 (for amounts already owed), 9, 10, 11 and 15 to 20 continue to apply.

15. Disclaimers

EXCEPT AS THESE TERMS SAY OTHERWISE, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE". TO THE FULLEST EXTENT THE LAW ALLOWS, WE DISCLAIM ALL WARRANTIES, WHETHER EXPRESS, IMPLIED OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT. We don't warrant that the Service will be secure, error-free or uninterrupted, that it will find every problem or threat, or that its results or the AI Assistant's answers will be accurate.

Some states don't allow certain warranties to be excluded. Where that applies, those warranties are limited to the shortest period the law allows.

16. Limitation of liability

TO THE FULLEST EXTENT THE LAW ALLOWS:

These limits don't apply to your payment obligations, to your obligations under section 17, or to liability that the law doesn't allow to be limited, such as for fraud or for death or personal injury caused by negligence.

17. Your responsibility for claims

You agree to defend and indemnify Zenlo and its staff against claims, losses and reasonable legal costs from third parties that arise from:

If you're a Business customer, this also covers claims arising from Your Data or your use of the Service in breach of these terms.

We'll tell you promptly about any such claim, let you control its defense, and help you at your cost. You may not settle a claim in a way that admits fault on our behalf without our consent.

18. Governing law and courts

These terms, and any dispute about them or the Service, are governed by the laws of the State of Utah and the United States, without regard to conflict-of-laws rules.

Any dispute will be decided only by the state courts located in Davis County, Utah, or the United States District Court for the District of Utah, and you and we agree to the jurisdiction of those courts. Either of us may instead bring a claim that qualifies in small claims court in the county where you live.

Before going to court, please email legal@365itguard.com so we can try to resolve the dispute informally. If it isn't resolved within 30 days, either of us may start proceedings.

19. Changes to these terms

We may update these terms. We post every change here with a new version number at the top of the page.

If a change is significant, we'll tell you by email or in the app at least 30 days before it takes effect, and we'll ask you to accept the new terms in the app or the admin portal before you continue using the Service. If you don't accept them, you can cancel, and you won't be charged under the new terms. Changes that only correct mistakes or make the wording clearer, without changing your rights or obligations, take effect when we post them.

Earlier versions are available on request.
